英文契約書翻訳に携わる中で、経験上、よく目にしたり、よく使われたり、または知っておいて損はないと思われる単語と用語について、契約書翻訳の観点から簡単な例文を作成してその用例（一部ですが）を見てみます。

今回は、「articles of association」、「articles of incorporation」、 「articles of organization」、 「certificate of incorporation」とこれらに関連する単語です。基本的に、いずれも会社の「定款」を表します。

1.　定款について

代表的なのは、「articles of association」、「articles of incorporation」かと思われます。これらは、それぞれ「AOA」、「AOI」と略されることもあります。また、「articles」のみで「定款」として使われることもあります。

2.定款の訳語

定款の訳語に関しては、例えば、「articles of association」を通常定款（英）、設立定款（米）、「certificate of incorporation」を規約とする場合などもあります（このほかにもいろいろな訳語あります。）。なを、「英文契約書」に、これらの用語が記載されていることを見た経験は、あまりないように記憶します（定款そのものの翻訳は行っています。）。

これらの用語のそれぞれの違い－どこで、どのように使われているのか。ということについてということに興味があるのではないでしょうか。国、地域、組織によって違いが出るようです。（当然、この点について解説した資料、本、ウェッブサイトが多々あります）。当初、これについて書く意図はありませんでしたが、たまたま英語版の「ウキペディア」に、これらの用語についての以下のような記事が見つかりました。基本的な部分は、おさえてあるようで、これらの用語のそれぞれの違いを、ざっくりと見てゆくには、良いかと思われます。

3.　「ウキペディア」から

「ウキペディア」は、所定の引用方法に従って引用可能であるとのことで、「articles of association」、「articles of incorporation」および「articles of organization」の3つについて、関連する内容の一部を引用しました（ただし、いずれも米国で書かれた記事のようです）。「certificate of incorporation」は省略しました。

articles of associationについて、

「a company’s articles of association (AoA, called articles of incorporation in some jurisdictions) is a document which, along with the memorandum of association (in cases where the memorandum exists) form the company’s constitution, defines the responsibilities of the directors, the kind of business to be undertaken, and the means by which the shareholders exert control over the board of directors.」

articles of incorporationについて、

「Articles of incorporation, also referred to as the certificate of incorporation or the corporate charter, act as a charter to establish the existence of a corporation in the United States and Canada, and are filed with the Secretary of State, or other company registrar.」

articles of organizationについて、

「The articles of organization are a document similar to the articles of incorporation, outlining the initial statements required to form a limited liability company (LLC) in many U.S. states. Some states refer to articles of organization as a certificate of organization」

冒頭にも書きましたが、「articles of association」、「articles of incorporation」、 「articles of organization」、 「certificate of incorporation」は、いずれも、とりあえず、「定款」と覚えておけば良いかと思われます。

「定款」にかかわる用語の一つである「by laws」は、通常、「付属定款」と訳されます。なお、「articles of incorporation」と「by laws」については、機会があれば見てみたいとおもいます。
