英文契約書の単語・用語 subject toについて

今回は、英文契約書、法律文書はもとより、技術文書やビジネス文、各種論文、その他、様々な分野で使かわれる、「subject to」について、契約書翻訳の視点から見てみます。

まずは、「subject to」を構成する「subject」というと、まず思い浮かぶのは、名詞として使われる「主題、題目、科目」とか「対象」です(他にもいろいろありますが)。英語の常として1つの単語がいろいろな意味を持つ場合が多く、「subject」も例外ではありません。

1. 「subject to」の日常的な使われ方の

契約書や法律文以外での「subject to」の日常的な(一般的)使われ方を見てみます。ここでは、「subject to」の日常的な使われ方の中から契約書翻訳で使われることが多い意味合いを持つ使われ方を、とくに形容詞と動詞としての用例の中からいくつかピックアップしてみました。

(1)「~従う、~支配されている、~依存する」

Weather is fundamentally subject to the laws of nature. (本来、天気は自然の法則に支配されている)

We are subject to the laws of the State of California.(カリフォルニア州の法律に従う)

(2)「~を受ける、~を余儀なくされる、~を免れない」

He is subject to criticism(批判にさらされている)

All beings are subject to death.(すべての人間は死を免れない)

「(罰金)を科せられる」

He is subject to a fine of 5000 yen (罰金5,000円が科せられる)

(3)「~を条件として、~を必要とする」

Subject to his approval, we can advance a project.(彼の承諾が得られれば、計画を進められる)

All treaties are subject to the ratification of the Diet. (すべての条約は議会の批准を必要とする)

His consent is subject to your approval. (彼の同意はあなたの承認が必要です)

「~に従わせる、の影響下に置く」

The schedule is subject to change without a prior notice. (スケジュールは、予告なく変更されることがあります)

This transaction shall be subject to an approval of the board of directors.(この取引は、取締役会の承認を必要とする)

(4)「受けさせる、こうむらせる」

He is subjected to cruel punishment. (ひどい罰を受ける)

日常的な(一般的な)使われ方としましたが、「subject to」自体が固い表現なので(少なくとも口語体ではないので)、例えば、上記のSubject to his approval, we can advance a project.は、「If we obtain his approval,     」とすることで分かりやすい文章になるし、This transaction shall be subject to an approval of the board of directors.などは、「This transaction requires an approval of the board of directors.」と分かりやすい文章になります。

2.「subject to」が英文契約書で使われる場合の例

作成した例文により(法律の条文を除く)、特に類型にかかわりなく英文契約書で使われる場合の例を列記してみます。

Subject to the completion of this Agreement between XXX and YYY,                  (XXXとYYY間の契約の成立に基づき(契約の成立を条件とし、       ))

The foregoing clause is subject to change based on coordination between the parties hereto. (上記の条項は、本契約の当事者かの協議により変更されることがある)

Intangible assets (that are) subject to amortization shall be as follows:(償却対象の無形資産は次のとおりとする)

Shares subject to the takeover bid       (株式公開買い付けの対象となる株式     

Any condition not provided for in the Purchase Order shall be subject to the conditions under this Agreement. (注文書に規定されていない条件は、本契約に基づく条件に従う。)

Party shall be subject to a contractual penalty in a case of his or her violation of this Agreement(当事者は、本契約に違反した場合、契約上の罰則の対象となる)

The purpose of this Agreement shall be an assignment of the intellectual property subject to the master agreement. (本契約の目的は、基本契約に基づく知的財産の譲渡であるものとする。)

This Agreement constitutes the full and entire understanding and agreement among the parties with regard to the subject hereof. (本契約は、本契約の主題に関する当事者間の完全な了解および合意を構成する。)これは、「subject to」の例ではなく、「subject」が単体で名詞として使われた例。

A person as referred to in one of the following items is subject to a criminal fine or petty fine of not more than 20,000 yen: (次の各号のいずれかに該当する者は、二万円以下の罰金又は科料に処する。)(道路交通法

Parties to a contract may freely decide the terms of the contract, subject to the restrictions prescribed by laws and regulations.(契約の当事者は、法令の制限内において、契約の内容を自由に決定することができる。)(民法

The obligor may not assert the benefit of time stipulation if:(i) the obligor has become subject to the order commencing bankruptcy proceeding;(次に掲げる場合には、債務者は、期限の利益を主張することができない。一 債務者が破産手続開始の決定を受けたとき。(民法

3. まとめ

「1. 「subject to」の日常的な使われ方の用例」でいくつかの類型を紹介しましが、「2.「subject to」が英文契約書で使われる場合の例」でわかるように、実際の訳文では、文脈的に、かつその契約の内容を踏まえて適切な訳語を当てはめる必要があります。これは「subject」という言葉が持つ2面性-ある者・事に「従う」、ある者・事を「従える」意味を持つということに起因するかもしれません。辞書ざっとみただけでも、(動詞・形容詞としての用法は別として)例えば、(法律・規則・法則などに)従う(ものとする)、~の支配下に置く、~に服従させる等とあります。英文を日本語にする場合は、文脈的に正しく訳すことが必要ですが、日本語から英語にする場合、なれないうちは、慣用句的な内容をのぞき、とくに「subject to」を使わずに、わかりやすい言葉を使用すするのが良いかと思われます。

「subject」の語源については、The New Oxford Dictionary of Englishに記載の内容と以下に記します

-origin Middle English (in the sense ‘(person) owing obedience’): from Old French stiget, from Latin subjectus ‘brought under’, past participle of subicere, from sub- ‘under’ + jacere ‘throw’.

Senses relating to philosophy, logic, and grammar are derived ultimately from Aristotle’s use of to hupokeimenon meaning ‘material from which things are made’ and ‘subject of attributes and Predicates’.

「基体」とは、
