前回、除外することがらを導く成句「unless otherwise」について見てみましたが、同じく除外することがらを導く単語に「except」があります。一般に他の単語との組み合わされることにより、以下に記載するような成句として使用されます。英文契約書翻訳の視点から見てみます。「unless otherwise」も「except」のいずれも和訳、英訳を問わず英文契約書にはかかせない、覚えておくと便利な言葉です。
1. exceptを使用した成句
「except」単体の持つ主な意味は、辞書をみればわかるように「～を除いて」、「～の他」、「～以外は」等です。
all of my friends passed the examination except me.（私を除いて私の友人は全員試験に合格した）
I work every day this week except Sunday.
すでに述べたように「except」は、英文契約書に限らず、一般に他の単語との組み合わされた以下のような成句として使用されます。
except+動詞の原形：～する以外は
except+to 動詞の原形～： ～する以外は
except for：～を別にすれば、 ～以外の点では、
except from: ～から除外する
except that～:ただし、～を除いて＝unless
except where～: ～の場合を除き
except when～: ～の時以外は、～の時を除き、
その他、except upon、except+前置詞句、except+副詞句、except asなどがあります。
いずれも辞書に記載されている事柄ですが、今回は、英文契約書で使用される場合の用例を作成した例文をとおして簡単に見てみたいと思います。
2. 英文契約書と法律文で使用される場合の用例
The RECIPIENT may not acquire any intellectual property rights under this Agreement except the following limited rights. (受領者は、以下の制限付き権利を除き、本契約に基づいて知的財産権を取得することはできない)
Except as provided for in this Article, the Contractor must not disclose the information learned in the course of performance of this Agreement to third parties. (本条に規定されている場合を除き、契約者は、本契約の履行過程で知り得た情報を第三者に開示してはならない)
Except as otherwise provided for in this Agreement, either party hereto may continue to hold its own title for its existing rights, privileges, powers, licenses, permits and intellectual property rights of whatever nature. (本契約に別段の定めがある場合を除き、本契約のいずれの当事者も、既存の権利、特権、権限、ライセンス、許可、およびいかなる性質の知的財産権についても引き続き独自の所有権を保持することができる)
これは、「unless otherwise」を使い「Unless otherwise provided for in this Agreement,」とすることもできます。
The supplier shall deliver the products in timely manner based on the schedule attached to this Agreement except to the following events. (サプライヤーは、以下の場合を除き、本契約に添付されたスケジュールに基づき適時に製品を納品する)
Either party hereto shall not have the right to assign its rights and obligations under this Agreement without a prior written consent of the other Party, except that a party shall have the right to assign this Agreement in the event of a merger or an acquisition that all or substantially all assets thereof is acquired by a successor. ( 本契約のいずれの当事者も、他方当事者の事前の書面による同意なしに、本契約に基づく権利および義務を譲渡する権利を有しない、ただし、合併または買収により、本契約のすべてまたは実質的にすべての資産が承継人によって取得される場合、当事者は本契約を譲渡する権利を有する)
A judgment rendered with regard to an action to oppose bankruptcy claim assessment, except where the action is dismissed as unlawful without prejudice, shall approve or change the order on the petition for bankruptcy claim assessment. (破産債権査定異議の訴えについての判決においては、訴えを不適法として却下する場合を除き、破産債権査定申立てについての決定を認可し、又は変更する)（破産法）
幾つかの例文をあげましたが、これ以外にも「except」や「unless otherwise」を使用したさまざまな用法があります。 英文契約書や法律文ではなくてはならない言葉です。
