契約書翻訳に際して、英文契約書でよく見受けられる起源の異なる同義語の併記について、今回は、「act and deed」です。

英文契約書において、act and deedとして一緒に用いられ、契約書に関わって完結した行動・行為を強調して表現します。
本来の言葉としての意味は、actは成し遂げられた「行動・行為」に焦点が置かれ、deedは意図的に行われた「行動・行為」を意味します。特に、deedは「偉業、業績」など、偉大な特筆すべき行為について使われる場合が多く見られます。一方、deedにはその反対に非常に悪いことを表す言葉としても使います。例えば、evil deed（悪事・悪魔の所業）となります。
これらの例を契約書翻訳の視点から以下に作成した例文で見てみます。
to do or refrain from doing any further act or deed in the name, place and stead of and on behalf of each Selling Party that the Designated Representative deems necessary or appropriate.
（指定代理人が必要または適切とみなした各販売当事者の名義で、その立場において、その代わりに、および、その代理としてさらなる行為を行うこと、またはさらなる行為を行うこと控えること）
That any actions taken by such officers prior to the date of the foregoing resolutions adopted hereby that are within the authority conferred thereby are hereby ratified, confirmed and approved as the acts and deeds of the Company.
（それに従い授与された権限の範囲内で、本状により採択された前述の決議の日付以前に、当該役員により講じられたいかなる措置も、本状により、会社の行為として裁可され、承認され、また、許可される）
その他、deedには、契約の公式記録としての法律文書、または誰かが土地または建物を所有していることの公式な証明である法律文書としての意味があります。
以下に作成した例文で見てみます。
The guarantor waives all rights as surety inconsistent with any of the terms of this Deed to the detriment or disadvantage of the contractor.（保証人は、契約者の損害または不利益となる本証書のいずれかの条項に違反する保証人としてのすべての権利を放棄します）
その他、法律用語として、正式に捺印された証書，権利証書等の意味があります。

Deedが行動を表す例として、Deeds, not wordsというフレーズがあります。「言葉でなく行動を」と言う意味になります。辞書によっては「不言実行」などともされます。
