契約書翻訳に際しても、英文契約書の翻訳を含め最近ではAIによる翻訳が採用されることも多くなってきているようです。AIによる英文契約書翻訳の正しさを確認する意味でも、英文契約書そのものについての理解が必要です。端的に言えば「その契約の種類を問わず、その契約内容に、契約に対する当事者双方の意図が正しく記載され、これにより契約が正しく履行され、さらに当事者間の誤解や紛争を防ぐための事柄が記載されているものであるか」を見極める必要があります。しかしながら、「英文契約書の文章は難しい」と言われています。それは、英文契約書には、初見ですぐに理解するのが難しい表現、語彙、規程があるからと思われます。以下、私見ですが、その理由について考えていました。
1. 英文契約書の文章が難しいと言われる理由
（１）一義的に見て契約書は、それ自体は法律ではありませんが、契約書が法律文書であるという点にあるのかもしれません。法律文に使われている法律用語は、「本来的に法概念の抽象性・一般性を本来の特性とする高度に抽象化された部分」があり、その性質上、法律用語が使われた類の契約書の文章には、慣れていないと、すぐに理解にできない単語や成句、独特な表現があります。契約書によっては、法律の条文の一部がそのまま記載されていることもあります。
（2）上記のように英文契約書の特色の1つとして、「基本的ある事柄について、一般的かつ包括的表現を行うことはあまりなく」、反対に「ある事柄について、そこに含まれるであろう個々の事例を1つ1つ列挙する傾向」があります。このため内容が細かく、かつ文章の量も多くなります。これにより、時として、「文章の構造が複雑で読みにくくなってしまう傾向がある」ということが多々あります。
日本の契約書の場合、法律文にもみられるように「一般的・包括的/抽象的に表現される傾向」があり、例えば、良く眼にする内容として「本契約に定めなき事項または疑義を生じた場合、両当事者の協議によりこれを解決する」等の一文が定番として記載されているのを良く見かけます。
もちろん英文契約書でも、例えば「Matters not stipulated in this Agreement or any doubt, with respect to the interpretation or performance of this Agreement shall be discussed and resolved based on the coordination between the parties」）のような一文（当方作成の例文。）を記載することもあります。）
多くの場合、英文契約書では、上記の理由により条項の一文が長くなり、日本の契約書と比べ、相対的に複雑化する傾向が見られます。
（3）文章の構造が複雑で読みにくくなる傾向の要因の1つとして例えば、1つの文章について、その時々で追加、修正された箇所が多々あると、一文が非常に長く複雑になることがあります。これなどは古くから使われている（特に、長年使いまわしされている）契約書において顕著です。すなわち問題の発生、時代の変化等、さまざまな要因により、それが当初作成した時点では、考え得るすべてのことを網羅した内容であっても、後に加筆、修正、削除等が行われます。また、古くから使われている契約書を含め、契約書によっては、すでに現在、一般には使われていないような古くからの表記・表現、言い回し、または難しい表記・表現、さらには時として冗長な言い回しが使われていることがあります。
また、条文によっては、恣意的に遠回しな表現が使用されていることもあります。
これら上記の事柄が合わさった場合、契約書はより難解なものになります。
なを、契約書ではありませんが、経験的に古い表記・表現が使われていることが多いのが、公証人が作成した証書とか、かつて欧米の植民地・宗主国であった国々の公文書にみられることがあります。
（4）、英文契約書には、例えば「force majeure」、「in lieu of」、「bona fide」,
「mutatis mutandis」等のフランス語やラテン語がまじっていることがあります。
（5）その他、英語を母国語としない起草者が作成したことによる独特な表現、または英語を英語以外の言語からの翻訳で生じた文法的な瑕疵、読みにくさ等があります。
いずれにしても、上記の事柄の幾つかが、英文契約書や法律文書に初めて触れた場合の難しさにつながり、英文契約書の内容を理解するうえでの1つの妨げになっているかと思われます。
2. 長文の読解についての一例
そこで、今回は以前に掲載した「長文の読解についての一例」を以下に改めて掲載しました。簡単なものですが、契約書の和訳の理解の一助になればと思います。
ABC Company shall, to the fullest extent permitted by law, indemnify, defend upon request, and hold harmless XYZ Company and its members, officers, directors, employees, agents, representatives, subsidiaries, affiliates, successors, and assigns (collectively, “Indemnitee”) against all losses, claims, damages, expense and liabilities sustained or incurred by the “Indemnitee” for any damage, harm, loss or injury of any kind, direct or indirect, to any property, entity or person, including, but not limited to, claims for injuries to employees of the “Indemnitee”, ABC Company and/or any related party, arising directly or indirectly out of any act, omission, conduct, negligence or default by ABC Company or a its related party or their respective officers, directors, employees, agents, representative, subsidiaries, successors, or assigns (“ABC Company’s Parties”) and/or arising directly or indirectly out of or in any manner associated with the Obligations under this Agreement or any contact with or encountering of any property, equipment, vehicles, facilities or personnel of the “Indemnitee”, regardless of whether any such liability, damage, loss or injury is caused by, results from or arises out of the negligence, fault or other liability of the “Indemnitee” or any other party to be indemnified.
ポイント1－インデックスとなる単語、表現を見つけて、グループ化
このような場合、インデックスとなる単語、表現を見つけ、かつ、グループ分けすることで、すっきりとした翻訳が可能になります。まず、以下のように上記の文章をグループに分けます。
ABC Company shall, to the fullest extent permitted by law, indemnify, defend upon request, and hold harmless XYZ Company and its members, officers, directors, employees, agents, representatives, subsidiaries, affiliates, successors, and assigns (collectively, “Indemnitee”) against all losses, claims, damages, expense and liabilities sustained or incurred by the “Indemnitee” for any damage, harm, loss or injury of any kind, direct or indirect, to any property, entity or person,
including, but not limited to, claims for injuries to employees of the “Indemnitee”, ABC Company and/or any related party,

ポイント2－「including, but not limited to、」「arising directly or indirectly」と「regardless of whether ~」に注目
「including, but not limited to」の場合、その前にある文章を訳した後に、「including, but not limited to」で分け、「上記は、以下を含むが以下に限定されない」と限定すれば、すっきりと訳すことができます。
（例文の下線部分の訳）を含むが「（例文の下線部分の訳）に限定されない」というように、一つの文章の様に訳すと長くなり、読み手もどこに焦点を置いて読む（訳す）のか迷ってしまいます。
また、「arising directly or indirectly」と「and/or arising directly or indirectly」のように、同じ文章があるときは、必ず、ｘｘｘおよび/またはｘｘｘのように、「arising directly or indirectly」の文章ごとに訳します。
ポイント3－長い文章の訳し方の一例
また、長い文章の後に、「regardless of whether ~」のような言葉がでてきた場合、前の長い文章から訳し始めて、「（それ以前の文章を全部入れて）、whether以下であるか否かにかかわらない。」とすると、訳すのが大変になります。この場合、長い文章を訳した後に、[上記は、whether以下であるか否かにかかわらない。」とします。
この様に整理した後に、文章として読んで分かり易いようでしたら、そのままのこれを訳文といたします。
ただし、文章の流れが若干スムースでないように思われる場合、読みやすくするために、シャッフルして文章を入れ替えることも可能です。
なを、このブログは、「英文契約書の文章が難しいと言われる理由」について、文章の構成についての私見であり、英米法（Anglo-American Law）の解説ではありません。ここに記載した「長文の読解についての一例」についても、これまでのブログの内容と同じ、「とりあえず覚えておくと便利」という視点からのものです。
ちなみに、ひとくくりに英米法といいますが、周知のように米国法と英国法には、相違が存在します。また、契約の概念（定義）にしても、例えば、日本法と米国法では異なります。
