契約書翻訳に、特に日本語から英語への翻訳にも一部関連しますが、ビジネスライティングの分野では、相当以前から、一般に「Effective Writing」が推奨されています。1つの側面として「Effective Writing」を通して個人の「Writing Skill」、すなわち「文書作成能力」をさせ、優れた文書により自己の能力を向上させ、企業の業績の向上に資するという効果があるとされています。
一例をあげるとビジネス文でも1980年代以前は、「ご依頼により」という表現は、英文契約書では定番の用語「in accordance with your request」、「in compliance with your request」等が使われていたことがあるそうです。
例えば、こんな感じです。「We will send 100 the Products in accordance with your request.」
現在でも様々な言い方があるでしょうが、この例に関してすぐ頭に浮かぶのは「We will send 100 the Products at your request.」などです。「in accordance with your request」、「in compliance with your request」を使う選択肢は、最初から頭に浮かびません。ビジネス文を例にとりましたが、言葉は生き物であり、その時々に変化してゆくものです。
前回、「英文契約書の文章が難しいといわれることの理由」をいくつか列挙しました。その理由の1つとして「英文契約書には、例えば「force majeure」、「in lieu of」、「bona fide」,「mutatis mutandis」等のフランス語やラテン語がまじっていることがあります。」ということを書きました。
これらの言葉は、英文契約書（法律文書）の特有の用語・言い回しの一部をなす、いわゆる、リーガルジャーゴン（Legal Jargon）と称されるものです。上記のほかにも「pari passu」、「ipso facto」、「per annum」、「pro rata」、「inter alia」などがあります。しかし、自分で契約書のドラフティングを行う場合、あえて難しい表記・表現、言い回わしを使う必要もないと思います。平易な言葉により契約に対する当事者双方の意図が正しく記載されている契約書も多くあります。
前置きが長くなりましたが、今回は、自分でドラフティングをする場合、（1）上記のようなフランス語やラテン語を使わずにほぼ同様な表現ができる場合について例文を通していくつか見てみます。また、（2）そのような言葉をそのまま使ったほうが良い言葉、（３）とりあえず使わないほうが無難な言葉についても見てみます。（いずれも当方の主観的なもので、様々な考え方があります）
1．ほぼ無理なく英語で代用できる例
a. in lieu of（～の代わりに）
英語では「instead of（まれに、in stead ofもあります）」に相当します。
The warranty is in lieu of all implied warranties. （本保証は、すべての黙示的保証に代わるものである）⇒ This warranty is instead of all implied warranties.
Action By Written Consent of the Stockholders in Lieu of Special Meeting ⇒ Action By Written Consent of the Stockholders instead of Special Meeting.
b. pro rata（比例して、案分して、割合に応じて）
英語では「proportionally」に相当します。pro rata allocation 「比例配分」のように使われることもあります。
The Seller acknowledges and agrees that, the Seller selling Shares and/or Options to the Buyer will receive its pro rata portion of the Purchase Price.（売主は、株式および/またはオプションを買主に販売する売主が購入価格の比例部分を受け取ることを承認し、これに同意します。）⇒ Seller acknowledges and agrees that Seller selling stock and/or options to Buyer will receive a proportional part of the purchase price.
c. per annum（英語では「per year＝1年あたり」の意味です）
The rate of such interest shall be 5% per annum.」（当該利率は年5%とする）⇒The rate of such interest shall be 5% per year.
d. bona fide (ラテン語「善意の～」、「真正の～」、「誠実な～」)
一部の辞書では「善意の～」とされる場合が多いようですが、文脈上で「真正の～」、「誠実な～」などの意味もあり、和訳の際は注意。英語では、「good faith」あたりが一番近いかも。
No bona fide pledgee or other holder of issued shares as collateral security shall be personally liable as a shareholder.（担保として発行された株式の真正の質権者またはその他の所持人は、株主として個人的な責任を負わないものとします。）
If the parties hereto are unable to resolve their dispute through bona fide negotiations, all disputes arising out of this Agreement shall be finally settled by arbitration in accordance with the Rules of the Japan Commercial Arbitration Association. ⇒ If the parties hereto are unable to resolve their dispute through negotiations in good faith, all disputes arising out of this Agreement shall be finally settled by arbitration in accordance with the Rules of the Japan Commercial Arbitration Association.
この場合のbona fideも「善意の交渉」、「誠実な交渉」などと訳されます。
The restrictions placed on the authority set forth in the preceding paragraph can not be asserted against a bona fide third party.（前項の権限に加えた制限は、善意の第三者に対抗することができない。）（医療法）
2. 定型文としてそのまま使ったほうが良いと思われる言葉
a. force majeure (不可抗力)
あえて説明することもないかと思われますが、英文契約書では定番の言葉で、フランス語の「superior force大いなる力」を語源としており、一般的には「人の力ではどうすることもできない力や事態」を表します。
Force Majeure means any event caused by occurrences beyond a party’s reasonable control, including, but not limited to, acts of God, fire or flood, earthquake, war, terrorism, labor dispute, pandemic, system malfunction, governmental regulations, policies, or actions enacted or taken subsequent to execution of this Agreement, or any labor, telecommunications or other utility shortage, outage or curtailment
「force majeure」については、以前、英文契約書の用語、構文（その9）「Force Majeure」、英文契約書の一般条項（その5）不可抗力条項、英文契約書の用語：再びForce Majeure（不可抗力）についてなどでとりあげたことがあります。
b. mutatis mutandis（語源はラテン語で、契約書や法律文で使われる場合は、主に「準用する」の意味で使われます。辞書によっては、「必要な変更を加えて」などと記載されていることもあります。）
The meetings and proceedings of each committee of directors consisting of 2 or more directors shall be governed mutatis mutandis by the provisions of the Articles regulating me proceedings of directors so far as the same are not superseded by any provisions in the Resolution of Directors establishing the committee. （2名またはそれ以上で構成される各取締役委員会の会議と手続きは、当該委員会を設置した取締役の決議の条項により、同様な事項が破棄されない限り、取締役（会）の手続きを規律する会社定款の条項を準用する。）
c. per diem（ラテン語で日当、１日につき、日割りで）
契約書にも使われますが、経験的にはビジネス英語とまでいかなくても、仕事をしてゆく上での日常会話として使われます。
The employer shall pay a per diem JPY20,000 per working day based on the revised working rules agreed between the employer and employees.( 雇用者は、雇用者と従業員との間で合意した改定後の就業規則に基づき、1労働日あたり2万円の日当を支払う)
3. とりあえず使わないほうが無難な言葉の幾つか
pari passu（ラテン語で「同じ順位の、公平に」）
ipso facto（ラテン語、事実として、事実上；‘by the fact itself）
inter alia（ラテン語、なかんずく，特に；among other things）：ある事柄が適用される状況を例示的に列挙する文章において、例示した内容がすべてではないこと明示するために使われます。
The site manager is, inter alia, engaged in the works of coordinating among the employees, contractors, and customers at the place of the customer.（現場管理者は、特に顧客先で請負業者の従業員と顧客の間の調整業務に従事する。）
ある事柄が適用される状況を例示的に列挙する事柄が多い場合には、例示した内容がすべてではないこと明示するために、英文にした場合、「including without limitation」、「including but not limited to」で代用することができますが、上記の例文は、他にもしごとがあるけれど、「単にその中で特に」という意味で作成しており、「including without limitation」、「including but not limited to」は使いません。この場合、英文では以下のような例が考えられます。「including without limitation」、「including but not limited to」については、以前「英文契約書の用語、構文 「including, but not limited to、subject to等」（その4）」でとりあげたことがあります。
The site manager is, especially saying, engaged in the works of coordinating among the employees, contractors, and customers at the place of the customer.
ipso jure (ラテン語、法律上、法律上当然に)
If the employees of Contractor perform the Service under this Agreement, he or she shall incur, ipso jure, the liability stared in the relevant laws and regulations(請負業者の従業員が本契約に基づいてサービスを実行する場合、その従業員は、法律上当然に、関連する法律および規制に基づく責任を負う)
英文契約書のラテン語のイディオムは、多くの場合、上記のように他の英語で代替できますが、上記の「1．ほぼ無理なく英語で代用できる例」、「2. 定型文としてそのまま使ったほうが良いと思われる言葉」にある言葉以外は、ドラフティング時にあまり使う必要もないかと思います。
ただし、英文契約書を読む場合や和訳を必要とする場合は、知っておくべき用語です。
実際、英文契約書にはここでとりあげた以外のラテン語等が使われていることもあります。

以上、契約書翻訳の視点からとりあえず知っておくと便利な言葉について簡単に触れてみました。
