以前、「除外」を表す用語・単語として「unless otherwise」と「except」について見てみました。今回は、「但し書き」について簡単にみてみます。「但し書き」は、契約書はもちろんのこと法律文書でもごく当たり前にみることができる文章部分です。当然ですが英文契約書にも「但し書き」はあります。
辞書をみると「但し書き」とは「一つの条、項または号の中で、主文章に続いて、これに対応する除外例や例外的条件を規定するため、「ただし」という語句ではじまっている規定をいう」とされています。
「但し」の意味を表す、または文脈的に「但し」の意味を含む英語表現は、however、however, provided、provided, however、provided that, however、butなどがあります。一般になじみがあるのは、「however」かと思いますが、一般に英文契約書で最も目にする「但し書き」の表現は、「provided, however, that」です。それ以外の表現のいくつかも合わせて作成した例文を通して見てみます。
1. provided, however, thatを使うもの：
No cumulative voting shall be allowed in the resolution of election of directors, provided, however, that this shall not apply to the cases where it is otherwise provided in the articles of incorporation.（取締役の選任決議については、累積投票によらない。ただし、定款にその他別段の規定がある場合はその限りではない）
The effective period of this Agreement shall be for three (3) years starting from February 01, 2023; provided, however, that the effective period may be extended or shortened prior to the expiration date hereof based on a consultation among the parties hereto.（本契約の有効期間は、2023年２月１日から３年間有効とする。但し、有効期間満了前までに甲乙丙協議の上当該期間を延長又は短縮することができる。）
2. Howeverを使うもの：
The Contractor shall not disclose or reveal the Confidential Information of the Customer that becomes aware through the performance of the Services specified in this Agreement to third party without a prior written approval of the Customer. However, it shall not apply if the applicable laws and regulations require the disclosure thereof.(契約者は、顧客の事前の書面による承認なしに、本契約で指定されたサービスの履行を通じて知り得た顧客の秘密情報を第三者に開示または明らかにしてはならない。ただし、法令等によりその開示が必要な場合はこの限りではない)
The Contractor shall be responsible for any and all services under this Agreement. However, the Contractor’s liability hereunder shall in no event exceed the fees stipulated in this Agreement. (コントラクターは、本契約に基づくすべてのサービスに責任を負うものとします。 ただし、本契約に基づくコンストラクターの責任は、いかなる場合も、本契約に規定された料金を超えないものとする)
３. provided thatを使うもの:
「provided that」は、本来、「～を条件とする」の意味ですが、文脈的に「ただし、（～を条件とする）」のように訳すことがあります。（）部分は特に強調したい場合をのぞき訳さない場合もあります。
The Contractor shall be responsible for any and all services under this Agreement provided that the Contractor shall completely perform the services in accordance with the specifications attached to this Agreement. （コントラクターは、本契約に基づくすべてのサービスに対して責任を負うものとします。ただし、請負業者が、添付の仕様に従ってサービスを完全に実行することを条件とする）
今回は、とりあえず覚えておくと便利ないくつか例を契約書翻訳の視点からあげてみました。作成した上記のパターン以外にも英文契約書では（文脈的な解釈の含み）様々な「但し書き」のパターンがあります。別の機会に触れてみます。
