前回に引き続き英単語「on」と「off」の持ついくつかの意味についてです。一見契約書や法務文書、技術書とは関係がないように見えますが実際には権利、義務、責任の所在、または特定の条件を厳格に規定するために使われます。今回も契約書翻訳の実務経験を前提に、英文契約書の内容確認・リスクチェックの観点から解説します。いずれのフレーズも契約書の定番のフレーズです。
8. 「On」とその他の単語との組み合わせ
(1) 義務・責任について
「on behalf of ~」: 〜を代表して / 〜に代わって
契約締結の主体を代表して（または代理して）署名するときの表現として知られていますが、意外と様ざまな状況で使用されています。
This Agreement shall be executed by XXX on behalf of ABC Corporation.
Commission Manufacture means the manufacture of Licensed Products by a third party on behalf of the Licensee. (委託製造とは、ライセンシーに代わって第三者がライセンス製品を製造することを意味する)
「binding on ~」: 〜を拘束する
This Agreement shall inure to the benefit of and be binding on the heirs, executors, assignees, and successors of the respective parties.（本契約は、各当事者の遺産相続人、遺言執行人、譲受人および承継人の利益に法的効力を生じ、かつこれらを法的に拘束する。）
(2) 条件・前提に関して
「on condition that ~」: 〜という条件で
特定の義務が発生する前提条件を指定します。
XXX will pay costs and damages finally awarded against YYY directly attributable to any such claim on condition that: （XXX は、以下の条件に従って、当該請求に直接起因する最終的に命じられた費用および損害賠償をYYY に対して支払う）
「on demand」: ～の請求があり次第、要求に応じて
The Contractor shall provide written evidence of approvals, consents, permits or licenses regarding the performance of services required by this Agreement to the reasonable satisfaction of the Customer, on demand;（請負業者は、顧客の要求に応じて、本契約で要求されるサービスの履行に関する承認、同意、許可またはライセンスの書面による証拠を顧客が合理的に満足できる状態で提供するものとする） 「on demand」のためにあえて作成した例文ですが、この場合、on demandとするよりは、upon the Customer’s requestのパターンほうが契約書的かもしれません（個人的感想ですが）。以下のようにすることもできます。
The Contractor shall, upon the Customer’s request, provide written evidence of any approvals, consents, permits, or licenses required for the performance of the Services under this Agreement, in form and substance reasonably satisfactory to the Customer.
実際には要求されるもの（例：ライセンス）の事前取得義務やその提出期限まで規定するのが一般的ですが、ここでは省略します。
「on an “as is” basis」: 現状有姿で
このフレーズについては以前「契約書の構文……https://www.ings-web.co.jp/archives/688」で少し述べたことがあります。
All confidential information furnished under this agreement is provided by discloser “as is” and “with all faults.”（本契約に基づき提供されたすべての機密情報は、「そのままで」かつ「あらゆる瑕疵を有した状態」で「開示者」により提供される。）
(3) 日時・期間に関して
「on or before ~」: 〜までに / 〜かそれ以前に
In the event of delay of delivery of the Products, the Seller, at no additional cost to the Purchaser, employ accelerated measures such as material expediting fees, premium transportation costs or labor overtime to ensure the Products are delivered on or before the revised delivery due date.（製品の納品が遅れる場合、売主は購入者に追加費用を負担させることなく、材料迅速化料金、特別輸送費、残業手当などの迅速化措置を講じ、修正された納品期日までに製品が納品されるようにする）
「on and after~」: 〜以降
On and after the Effective Date of this Agreement, the Purchaser shall have the exclusive right to sell all products set forth in Exhibit A.
（4）その他
「on the grounds of ~」: 〜を理由として / 〜を根拠として
Institutional staff, etc. is not subject to any unfavorable treatment such as dismissal from the relevant institution on the ground of having made a report under paragraph (1).（施設職員等は、第一項の規定による通告をしたことを理由として、（当該施設からの）解雇その他不利益な取扱いを受けない。）（施設職員等は、第一項の規定による通告をしたことを理由として、解雇その他不利益な取扱いを受けない。）（児童福祉法）
「on a pro-rata basis」: 案分比例して / 割り当てに応じて
「on a pro-rata basis」はお金に関することなので大事なフレーズです。
If the information provided through the Subscribed Services hereunder is materially reduced, the Publisher shall refund to the Subscriber, on a pro rata basis, the portion of any charges paid in advance corresponding to the extent of such reduction.
例文の内容は、各フレーズを説明するためのもので便宜的なものです。厳密にいえば英国式、米国式、これらの形式に関してある部分をさらに明確化する等がありますが、これらいかかわらず各フレーズを簡潔に説明することに留意しいます。ちなみに「on demand」の例文で「the reasonable satisfaction of」としてありますが、「the reasonable」は義務の合理性を示したもので、この文言がない場合も多々あります。
